1. Purpose and Scope
These General Terms and Conditions of Sale (GTC) define the terms applicable to the services offered by ExaBuilding, in particular in the fields of Smart Building, building automation, KNX integration, audit, consulting, owner's project management assistance, technical studies and training.
They apply to any service order placed with ExaBuilding, unless specific terms are expressly agreed between ExaBuilding and the Client.
These GTC are supplemented, where applicable, by the specific terms set out in the quote, commercial proposal, purchase order or any other contractual document accepted by the parties.
2. Quotes and Orders
Services are offered on the basis of a quote or commercial proposal specifying in particular the nature of the service, its scope, its price and, where necessary, the timeframes or specific conditions of execution.
Unless stated otherwise, quotes are valid for the period indicated on them.
The order is deemed accepted once the Client accepts the quote or commercial proposal, in accordance with the terms set out in the relevant document.
Any service or request not included in the scope initially defined may be subject to an additional quote or additional invoicing after the Client’s agreement.
3. Price and Payment Terms
The prices of the services are those indicated in the quote, commercial proposal or any other pricing document applicable to the Client.
Prices are shown in Tunisian dinars (TND) and, where applicable, exclusive of tax and any additional fees.
Payment terms, due dates and any deposits are specified in the corresponding quote or invoice.
Unless specific terms are agreed between the parties, payment is made using the payment methods offered by ExaBuilding and indicated on the invoice.
Any late payment may result in the application of the provisions of applicable Tunisian regulations as well as, where applicable, the suspension of ongoing services after the Client has been informed.
4. Performance of Services
ExaBuilding carries out the services in accordance with the scope defined in the accepted quote or commercial proposal.
The timeframes communicated by ExaBuilding depend on the nature and complexity of the service as well as the availability of the information, documents, access and approvals necessary for its completion.
The Client undertakes to provide ExaBuilding, within appropriate timeframes, with the information, documents, technical access and approvals necessary for the proper performance of the service.
Any delay attributable to the absence or late transmission of these elements may result in an adjustment to the execution schedule.
5. Modification and Additional Services
Any modification to the initial scope of the service requested by the Client may be reviewed by ExaBuilding.
Where such modification results in additional work, an increase in the timeframe or the mobilisation of additional resources, ExaBuilding may propose an additional service or a revised quote.
No significant additional service will be undertaken without the Client's prior agreement.
6. Cancellation and Postponement
Cancellation or postponement terms may vary depending on the nature of the service and are, where necessary, specified in the quote or commercial proposal.
For training courses, unless specific terms are agreed, the following rules apply:
- any cancellation notified at least 7 calendar days before the start of the session entitles the Client to a refund under the conditions set out at registration;
- any cancellation notified less than 7 calendar days before the start of the session does not entitle the Client to any refund;
- a postponement to a later session may be offered, at ExaBuilding's discretion, subject to availability;
- the registered participant may be replaced by another person from the same company, provided ExaBuilding is informed in advance.
In the event of cancellation or postponement of a service by ExaBuilding for a legitimate reason or one beyond its control, ExaBuilding will inform the Client as soon as possible and will propose, depending on the situation, a postponement, a new date or any other appropriate solution.
7. Liability
ExaBuilding undertakes to carry out its services professionally and in accordance with the rules and practices applicable to the nature of the assignment.
Unless a specific commitment is expressly provided for in the quote or contract, consulting, audit, study and assistance services constitute obligations of means (best-effort obligations).
ExaBuilding's recommendations, studies, analyses or advice are prepared on the basis of the information, documents and data available at the time they are produced.
ExaBuilding cannot be held liable for consequences resulting in particular from:
- incomplete, inaccurate or late information provided by the Client;
- modifications made by the Client or by a third party;
- the intervention of a third-party service provider or supplier;
- malfunctions originating from equipment, software or infrastructure not under ExaBuilding's control;
- use of deliverables or recommendations outside the scope provided for in the service.
Where the performance of a service depends on products, software, equipment or services provided by third parties, ExaBuilding's liability cannot be engaged for failures specific to those products or services.
Any applicable limitations of liability are determined in compliance with mandatory legal and regulatory provisions.
8. Intellectual Property
Unless otherwise stipulated in the quote or in a specific agreement, the methods, tools, models, documents, materials, content, software, scripts, configurations, studies and other elements developed or used by ExaBuilding in the course of its activities remain its property or that of their respective owners.
Deliverables specifically intended for the Client may be used by the Client within the scope of the project for which they were produced, subject to full payment of the sums due.
Any reproduction, distribution, commercialisation or reuse of elements belonging to ExaBuilding beyond the intended use may be subject to its prior authorisation.
9. Confidentiality
ExaBuilding and the Client undertake to preserve the confidentiality of confidential information, documents and data exchanged in the course of their business relationship.
This obligation does not apply to information:
- already public;
- that has become public without breach of a confidentiality obligation;
- whose disclosure is required by law or a competent authority.
This obligation remains applicable after the end of the service, for a reasonable period given the nature of the information concerned.
10. Personal Data
In the course of its activities, ExaBuilding may collect and process certain personal data concerning its clients, prospects, training participants or website users.
This processing is carried out in accordance with applicable personal data protection regulations.
Information relating to the collection, use, retention and rights of data subjects is detailed in ExaBuilding's Privacy Policy.
11. Force Majeure
ExaBuilding cannot be held liable for a delay or failure to perform resulting from an event reasonably beyond its control that prevents or disrupts the performance of its obligations.
Such events may include, in particular, natural disasters, fires, major breakdowns, interruptions to essential networks or services, acts of authorities, conflicts, social unrest or any other event meeting the conditions of force majeure under applicable regulations.
The parties will endeavour to find a solution allowing the service to be continued or reorganised under reasonable conditions.
12. Governing Law and Dispute Resolution
These GTC are governed by Tunisian law, subject to any mandatory provisions that may apply.
In the event of a dispute relating to the interpretation or performance of these GTC, the parties will first endeavour to reach an amicable solution.
Failing an amicable resolution, the dispute will be submitted to the competent Tunisian courts, subject to applicable mandatory rules of jurisdiction.
13. Acceptance of the GTC
Acceptance of a quote, commercial proposal, purchase order or registration for an ExaBuilding service implies acceptance of these GTC, unless specific terms are expressly agreed between the parties.
In the event of a contradiction between these GTC and specific terms expressly accepted by the parties, the specific terms shall prevail.
